2021 General Meetings and the impact of COVID-19

Holding AGMs and general meetings during the pandemic has not been without its challenges. Provisions contained in the Corporate Insolvency and Governance Act 2020 (“CIGA”) have helped, but they expire on 30 March 2021.

Whilst we have long been calling for an extension to the CIGA provisions, this would require primary legislation. Unfortunately, we understand that the opportunity for this is limited, particularly in the short term. This guidance note is therefore aimed at helping public companies to plan for an AGM or other general meeting during the ongoing uncertainty caused by the pandemic, in particular given the absence of the CIGA relaxations. 

Slaughter and May was a member of the working group set up by ICSA to develop the guidance.
