The UK has a very active debt capital markets known for their internationalism, sophistication, large size and range of issuers. In this chapter we discuss the UK and EU legal and regulatory framework underpinning the debt capital markets in the UK and the various factors which influence the shape and structure of the market, including the documentation and execution of transactions. We also discuss some recent trends which will impact the UK debt capital market, including: Brexit; green and other ESG bonds; and benchmark reform and the transition from the IBORs to near risk-free rates.
