The Amended Shareholder Rights Directive: impact on Main Market companies

On 10 June 2019 the UK implemented various provisions of the amended Shareholder Rights Directive. The changes primarily affect companies with shares traded on the UK Main Market or another EU regulated market, institutional investors, asset managers, intermediaries in the investment chain and proxy advisers. This briefing looks at those changes that affect UK Main Market companies in the areas of directors’ remuneration and transactions with related parties.
